Member Services & Terms of Use

This Member Services & Terms of Use is part of our User Agreement, available here – https://staging.artviewings.com/terms-and-conditions/.

As used in this Agreement:

• “Artviewings” refers to Artviewings, Inc., its affiliates, subsidiaries, officers, employees, and agents, and the technology services it operates.
• “Platform” refers to the Artviewings website, applications, software, tools, features, and services that enable users to discover, present, curate, collaborate on, and transact artworks and related services.
• “User” refers to any individual or entity that accesses or uses the Platform, including visitors, registered account holders, collectors, clients, or other participants interacting with the services provided by Artviewings.
• “Member” refers to a registered User who offers professional services, artworks, or related expertise through the Platform and its Services.
• “Artwork” refers to any visual artwork, creative work, or collectible item displayed, curated, offered for sale, or otherwise presented through the Platform.
• “Client Project” refers to a workspace created within the Platform by a Partner to curate artworks, manage presentations, upload images of interiors or other spaces, collaborate with team members, and develop proposals or presentations.
• “Proposal” refers to a curated presentation, document, or digital package generated within the Platform that presents selected artworks and/or services to a client for review, approval, or potential purchase.
• “Services” refers to the features, tools, and capabilities provided by Artviewings through the Platform.
• “Member Services” refers to any services, expertise, or professional activities offered by Members through the Platform.

Member Types and Service Tiers

Member Types. The Services are designed to support a diverse ecosystem of users. Member categories may include, without limitation, artists, galleries, art advisors, curators, interior designers and design firms, framers, installers, art consultants, and other art-related professionals.

Members may identify themselves or be categorized on the Services based on the nature of their activities, professional role, or the services they offer. Such categorizations are for organizational and discovery purposes only and do not constitute endorsement, certification, or verification by Artviewings.

Members are solely responsible for ensuring that any information they provide regarding their Member type, qualifications, or professional role is accurate, complete, and not misleading. Artviewings reserves the right, but not the obligation, to review, modify, reclassify, or remove Member type designations at its sole discretion.

Feature Availability by Member Type. The functionality, tools, and user experience available on the Services may vary depending on the Member type and the nature of services offered. Certain features may be enabled, restricted, or customized for particular Member types.

ARTVIEWINGS RESERVES THE RIGHT, AT ITS SOLE DISCRETION, TO ENABLE, MODIFY, EXPAND, LIMIT, OR DISCONTINUE FEATURES OR FUNCTIONALITY AVAILABLE TO ANY MEMBER TYPE AT ANY TIME, WITH OR WITHOUT NOTICE.

Service Tiers. Artviewings may offer different membership plans or tiers (“Service Tiers”), including free and paid options.

Service Tiers may differ with respect to, without limitation:

1. Access to platform features and tools
2. Listing limits or visibility
3. Collaboration and project management capabilities
4. Transaction capabilities and pricing controls
5. Support levels or service offerings

Modifications to Service Tiers. Artviewings reserves the right, at its sole discretion, to:

1. Add, remove, or modify Service Tiers
2. Change the features, functionality, or limitations associated with any Service Tier
3. Update pricing, fees, or billing structures
4. Introduce new features or restrict existing features within any Service Tier

Any such changes may be effective immediately or upon notice, as determined by Artviewings and as permitted by applicable law. Continued use of the Services following such changes constitutes acceptance of the updated Service Tier terms.

No Guarantee of Feature Availability. Artviewings does not guarantee the continued availability of any specific feature, functionality, or Service Tier.

Member Responsibility. Members are responsible for selecting the Service Tier that best meets their needs and for complying with all applicable requirements, limitations, and payment obligations associated with such tier.

Services and Platform Features

Depending on Member type and membership tier, Artviewings provides access to a range of tools and services designed to facilitate the discovery, presentation, and acquisition of art. These services may include, but are not limited to:

Member Profile Page. Members may create and maintain a publicly visible profile. A Member Profile may include, without limitation, Artworks, Art-Related Products, professional statements, biographical information, portfolios, past projects, testimonials, and other content provided by the Member.

You are solely responsible for all content included in your Member Profile and represent and warrant that such content is accurate, complete, current, and not misleading, and that you have all necessary rights, licenses, consents, and permissions to display such content.

The inclusion of any content in a Member Profile does not constitute approval, certification, or endorsement by Artviewings.

Artviewings reserves the right, but not the obligation, to review, monitor, remove, or modify any Member Profile content at its sole discretion.

You acknowledge that your Member Profile is publicly accessible and may be viewed by other Members and third parties.

Client Project Management. The Services may enable Members to create, manage, and organize client-specific projects (“Client Projects”) for artwork selection, curation, presentation, proposal development, and related communications.

Members are solely responsible for all content, materials, and information included in Client Projects and for ensuring that such content is accurate, complete, and not misleading.

Project Collaboration. The Services may allow Members to invite other Members (“Collaborators”) to access and collaborate on Client Projects.

Collaborators may participate in project workflows, including contributing content, communicating with other participants, and offering or providing Member Services. All Collaborators act independently and are solely responsible for their conduct, communications, and services.

Automated Curation Tools. Artviewings may offer features that use artificial intelligence, machine learning, or automated systems to help users discover and curate artworks.

These systems may analyze various forms of information, including but not limited to:

1. User preferences and activity on the platform
2. Artworks viewed, saved, or followed
3. Artists, galleries, or collections followed
4. Project data and curatorial selections
5. Uploaded interior space images and spatial context
6. Interactions between collaborators within projects

The generated recommendations, visualizations, or curatorial suggestions are provided for informational and creative assistance purposes only.

ARTVIEWINGS DOES NOT ASSUME LIABILITY FOR DECISIONS MADE BASED ON AUTOMATED RECOMMENDATIONS OR AI-ASSISTED CURATION TOOLS.

Client Space Visualization. The Services may enable Members to upload images or other representations of client spaces and digitally place or visualize Artworks within such spaces for presentation purposes.

Presentations and Proposals. Members may create and share curated presentations and proposals with clients that include artwork selections, Member Services, pricing information, and purchase options.

Member Engagement and Communication

1. Follow Members. The Services may allow users to follow Member profiles in order to receive updates, curated selections, and other content shared by such Members.
2. Client Communication. The Services may enable Members to communicate with Collaborators and clients through messaging tools, Client Projects, RealView Presentations, and other workflow features.
3. Find-A-Pro Directory. The Services may include a directory feature that lists Member Profiles for discovery by users.

Members are solely responsible for all content and communications conducted through the Services. Artviewings does not endorse, guarantee, or warrant the performance, quality, legality, or outcome of any services or transactions conducted with Members.

Member Services

Members may offer professional services (“Member Services”) through the Services. Member Services are provided independently by Members and may include, without limitation, art advisory, curation, interior design, artwork placement, project management, sourcing, framing, installation coordination, and related professional services.

Artviewings provides the platform and related tools to facilitate discovery, communication, collaboration, and transactions but does not provide Member Services and is not a provider of, or party to, any such services.

Members are solely responsible for:

1. Defining and delivering the scope, quality, and outcomes of Member Services
2. All representations, communications, and agreements made with clients or other users
3. Fulfilling all obligations arising from Member Services, including compliance with applicable laws and contractual commitments

Users acknowledge and agree that they engage Members and any Member Services at their own discretion and risk. Except as expressly provided under the Artviewings Guarantee or applicable policies, disputes must be resolved directly between the user and the applicable Member.

Platform Role and Limitation. Artviewings’ role is limited to providing the Services as a technology platform to facilitate interactions among Members and users.

Enforcement and Rights. Artviewings reserves the right, but not the obligation, to monitor, review, restrict, suspend, or remove any content, communications, Member Profiles, directory listings, or Member Services.

Transactions, Pricing, and Member Commissions

Member Pricing and Markups. Members may have the ability to apply partner-specific pricing or markups to Artworks included in curated proposals.

Member Services in Proposals. Members may offer and include professional services in connection with artwork acquisition.

Client Purchases. Clients may purchase Artworks and/or Member Services through proposals or presentations shared by Members via the Services.

Platform Fees and Commissions. Artviewings does not charge clients an additional commission solely for making purchases through the platform. However:

1. Artists, galleries, or other sellers may pay commissions or fees to Artviewings and/or participating Members
2. Artviewings may charge service fees on Member Services offered through the Services
3. Any markup or pricing adjustment applied by a Member to a proposal may be deemed part of a Member Service and may be subject to an applicable platform service fee

Transparency and Compliance. Members are responsible for ensuring that all pricing, markups, and fees included in proposals are transparent, lawful, and compliant with applicable regulations and contractual obligations.

Modification of Fees and Policies. ARTVIEWINGS RESERVES THE RIGHT, AT ITS SOLE DISCRETION, TO MODIFY, UPDATE, OR REVISE ITS COMMISSION STRUCTURES, SERVICE FEES, AND TRANSACTION POLICIES AT ANY TIME.

Professional Conduct

All interactions between Members, clients, and other users must remain professional, respectful, and consistent with the standards of the professional art community.

Prohibited conduct may include, but is not limited to:

1. Harassment or abusive communication
2. Misrepresentation of artworks or services
3. Fraudulent transactions or deceptive practices
4. Attempts to circumvent platform policies

Artviewings reserves the right to take appropriate action against violations, including:

1. Removal of content
2. Restriction of platform access
3. Suspension or termination of accounts

Service Quality

Artviewings is committed to maintaining a high standard of professionalism and service quality across the platform.

Artviewings may take corrective action if it determines that a Member has provided services that fall materially below these standards.

Such actions may include:

1. Issuing warnings or requesting corrective measures
2. Temporarily restricting certain platform features
3. Suspending the Member’s account
4. Removing projects, listings, or content associated with the Member
5. Permanently terminating the Member’s account in cases of repeated or serious violations

ARTVIEWINGS RESERVES THE RIGHT TO MAKE SUCH DETERMINATIONS AT ITS REASONABLE DISCRETION.

Transaction Data Privacy

Information related to transactions conducted through the platform may include:

1. Artwork pricing
2. Transaction values
3. Proposal details
4. Payment and payout records

This information is treated as confidential transaction data and is visible only to parties involved in the relevant transaction and authorized Artviewings personnel.

Artviewings does not publicly disclose private transaction or commission data unless required by law or with the consent of the involved parties.

Artwork Authenticity and Representation

Members who list, present, or offer artworks through the Artviewings platform are solely responsible for the accuracy and authenticity of the artworks they present.

Members represent and warrant that:

1. They have the legal authority to offer the artwork for sale or presentation
2. All descriptions, provenance details, and authenticity claims are accurate to the best of their knowledge
3. The artwork does not infringe upon the intellectual property rights of any third party
4. Any certificates of authenticity or documentation provided are legitimate
5. They agree to all Terms, including the Artviewings Guarantee and Return Policy

ARTVIEWINGS SHALL NOT BE LIABLE FOR DISPUTES RELATING TO AUTHENTICITY, ATTRIBUTION, PROVENANCE, OR CONDITION OF ARTWORKS.

Consignment and Inventory Responsibility

Artviewings acts solely as a technology platform facilitating discovery, presentation, and transactions, and is not responsible for the physical handling or condition of artworks.

Members understand and agree that:

1. Artviewings may facilitate the presentation and sale of artworks that are owned, consigned, or represented by Members
2. Members are solely responsible for ensuring that they have the legal authority to consign, represent, or sell artworks displayed through the platform
3. Artviewings does not take physical possession of artworks and does not act as a storage provider, shipper, or custodian of inventory unless explicitly stated otherwise
4. Responsibility for artwork storage, handling, shipping, logistics, insurance, condition verification, and compliance with import/export regulations remains with the Member or seller

Dispute Resolution and Arbitration

Artviewings is not a party to agreements between Users and is not responsible for enforcing private contracts between Members and clients. However, in certain circumstances, Artviewings may assist in mediating disputes.

Artviewings may, at its discretion:

1. Provide limited dispute resolution assistance
2. Review transaction records or communications stored on the platform
3. Facilitate communication between parties to resolve disputes

Marketplace Neutrality

Artviewings operates as a technology platform and marketplace that facilitates connections, discovery, collaboration, and transactions between users.

Artviewings is not the buyer or seller of artworks or services listed on the platform, unless explicitly stated otherwise. In most transactions conducted through the platform:

1. The seller is the artist, gallery, dealer, collector, or other Member offering the artwork or service
2. The buyer is the user or an intermediary representing an end client purchasing the artwork or service
3. Artviewings acts solely as an intermediary platform providing tools for discovery, presentation, collaboration, and transaction facilitation

Artviewings may provide payment processing, communication tools, and project collaboration features to support these transactions, but such services do not make Artviewings a party to the underlying transaction.

ANY TRANSACTION CONDUCTED THROUGH THE PLATFORM IS SOLELY BETWEEN THE BUYER AND THE SELLER, AND THOSE PARTIES ARE RESPONSIBLE FOR FULFILLING THE TERMS OF THEIR AGREEMENT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARTVIEWINGS SHALL NOT BE LIABLE FOR DISPUTES, LOSSES, DAMAGES, OR CLAIMS ARISING FROM TRANSACTIONS OR INTERACTIONS BETWEEN USERS OF THE PLATFORM.
